1. Who we are

Baked Goods (bakedgoods.studio) is a project of Flint, a trading name of Dyvr Limited, a company registered in England and Wales (company number 15369152). Registered office: 3 Swithland Lane, Rothley, Leicestershire, LE7 7SG, United Kingdom.

Contact: hello@bakedgoods.studio

In these terms, "we", "us" and "our" mean Dyvr Limited. "You" means the person or business placing the order.

2. These terms

2.1 These terms apply to every order you place with us. You accept them when you tick the box at Stripe checkout and pay. Please read them first. Our Privacy Policy explains how we use personal data.

2.2 Some parts of these terms apply differently depending on whether you are a consumer (buying mainly for personal use, outside your trade or business) or a business (buying for your trade, business, craft or profession). Where a clause applies to only one, it says so.

2.3 If you are a consumer, nothing in these terms affects your legal rights, including under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Citizens Advice (citizensadvice.org.uk) can tell you more about them.

3. What we make

3.1 We create visual assets of your product, such as images and short videos (the "Work"), from the photos, files and information you send us (your "Materials").

3.2 We make the Work using a combination of 3D modelling, AI image generation and 3D rendering. Some of this is done using third-party tools and providers (see clause 12).

3.3 The package, price, number of assets, formats and delivery time are as shown on our site at the time you order and in your order confirmation.

4. Renders, not photographs

4.1 The Work is artificial, computer-generated imagery. It is made to communicate your product visually. It is not a photograph or an exact record of the real product.

4.2 Colour, size, proportion, shape, texture, materials, labels, text and packaging in the Work may differ from the real product. We do not claim that any asset is an accurate depiction of a real object.

4.3 This does not reduce your rights if the Work does not match the description we gave you, or is not of satisfactory quality for an illustrative render of the kind you ordered.

5. Your responsibilities when you use the Work

5.1 You are responsible for how you use and publish the Work. In particular, you must:

(a) make sure the Work represents your product fairly and does not mislead anyone, including about what the product is, looks like or does;

(b) disclose that the Work is AI-generated or computer-generated wherever the law, an advertising code (such as the CAP Code) or a platform's rules require it. For example, Instagram, Facebook, TikTok, YouTube and online marketplaces may require you to label AI-generated or digitally altered content when you post it; and

(c) follow advertising, consumer protection and product labelling laws in every place you publish the Work.

5.2 We are not responsible for any loss, claim, fine, ad rejection, account restriction or takedown caused by how you use the Work, or by your failure to label or disclose it. This clause does not limit our responsibility for problems caused by our own breach of these terms.

6. Your Materials

6.1 By sending us Materials, you confirm that:

(a) you own them, or have permission to use them for this purpose;

(b) the product shown is genuine and not counterfeit, and you have the right to promote it; and

(c) our use of the Materials to make the Work, and your use of the Work, will not infringe anyone's copyright, trade mark, design right, image right or other rights.

6.2 We do not check who owns your Materials or whether a product is genuine. That is your responsibility.

6.3 You give us a non-exclusive licence to use your Materials only to make and deliver the Work, provide support and keep records as described in our Privacy Policy.

6.4 We may refuse or stop an order if we reasonably believe the Materials or product infringe someone's rights, are counterfeit, or are unlawful, offensive or harmful. If we do, we will refund anything you have paid for Work not yet delivered.

6.5 Businesses only: you will indemnify us against all losses, damages, fines, and reasonable costs (including reasonable legal costs) arising from any claim that your Materials, your product or your use of the Work infringes someone's rights, is counterfeit, or breaches clause 5. We will tell you promptly about any such claim and let you have reasonable input into how it is handled.

7. Ownership of the Work

7.1 Your package is the pack you buy (Taster, Drop or Launch) plus any add-ons you pay for. The assets included in each pack are:

PackProductsClipsStillsHigh-res bakes3D file (GLB, USDZ)
Taster1The Spin and one hero clip3 packshotsNot includedNot included
Drop1All 5 shots, every sizePackshots, styled, close-ups12Included
Launch3, or 1 from CADAll 5 shots plus a hero sequencePackshots, styled, close-ups12 per productIncluded for every product

Paid add-ons (for example a colour or size, another shot, another product, or unlocking the full studio from a Taster) form part of your package from when you pay for them. Exports and bakes you make in your studio from your package also count as delivered assets.

7.2 Once you have paid for your package in full and 30 days have passed since your studio opened without a refund being requested, ownership of the delivered assets in your package, including copyright, passes to you. Where an add-on is bought later, ownership of its assets passes 30 days after they are delivered, on the same basis. You may then use, edit, copy, publish and sell those assets as you wish.

7.3 Until ownership passes, we own the delivered assets and you may use them for any lawful purpose, including publishing them. If you request a refund within the 30 days, clause 9.3 applies and ownership does not pass.

7.4 Anything not included in your package stays ours. This includes the 3D model and 3D files where your pack does not include them (for example the Taster, unless you unlock the full studio), the studio software and live model, and our tools, methods, prompts, workflows, templates and know-how. Where your package includes the 3D file, you own the delivered file once clause 7.2 applies; we may keep a copy so your studio keeps working and so we can make add-ons.

7.5 We will not sell or license assets showing your product to anyone else.

7.6 We may show the Work in our portfolio and marketing unless you ask us not to by emailing hello@bakedgoods.studio. We will stop new uses within a reasonable time of your request.

7.7 Because the Work is partly AI-generated, copyright may not exist in every part of it in every country. We do not promise that you can stop others using similar images.

8. Price and payment

8.1 Prices are shown on our site and at checkout. You pay in full when you order, through Stripe. Where a price is shown with the $ symbol and no currency code (such as AUD or USD), it is in US dollars (USD).

8.2 We will not start work until payment is received.

9. Cancellations and refunds

9.1 Consumers: your right to cancel

(a) If you are a consumer, you normally have 14 days from the date of your order to cancel without giving a reason.

(b) The Work is digital content and a custom service. At checkout we will ask you to request that we start straight away. If you do so:

  • for any digital content we deliver within the 14 days, you agree that you lose your right to cancel for that content once delivery begins; and
  • for any service we carry out within the 14 days, if you then cancel, we may keep an amount proportionate to the work done up to the time you tell us you are cancelling.

(c) To cancel, email hello@bakedgoods.studio with your name and order details. We will refund any amount due within 14 days of your cancellation, to the payment method you used.

9.2 If something is wrong with the Work

If the Work is faulty or not as described, tell us at hello@bakedgoods.studio. We will repair or redo it. If we cannot, or it does not fix the problem within a reasonable time, you are entitled to a refund in line with your legal rights. If you are a consumer, these remedies come from the Consumer Rights Act 2015 and are not affected by anything in these terms.

9.3 Our 30-day refund promise

(a) On top of your legal rights, if you are not happy with your studio, tell us within 30 days of it opening. We will redo it once for free. If you still are not happy, you can have a full refund, as long as you request it within that 30-day period.

(b) A refund under this promise means you hand the Work back. When you request one:

  • ownership of the refunded assets does not pass to you under clause 7, and your permission to use them under clause 7.3 ends;
  • you must stop using the assets and remove them from anywhere you have made them public, such as websites, listings, social media, ads and print; and
  • you should delete your copies, including any 3D files, and ask anyone you shared them with to do the same.

(c) We will ask you to confirm in writing that you have done this. We will pay your refund within 5 working days of your confirmation, to the payment method you used.

(d) If refunded assets are later used publicly, that use is not permitted. We may ask you to remove them or to repay the refund, and we may ask platforms to take them down.

(e) Clause 9.3 applies only to our 30-day refund promise. It does not apply to, delay or reduce any refund you are entitled to by law under clause 9.1 or 9.2. If you receive a refund under those clauses, ownership of the refunded assets will not pass to you, and we ask that you do not use them.

9.4 Chargebacks

If you raise a chargeback or payment dispute instead of contacting us, we will treat it as a refund request for the purposes of clause 9.3(b) once it is resolved in your favour. Please contact us first so we can help.

10. Our responsibility to you

10.1 Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law. Nothing in these terms affects a consumer's statutory rights.

10.2 Consumers: we are responsible for loss or damage you suffer that is a foreseeable result of our breaching these terms or failing to use reasonable care and skill. We are not responsible for loss that is not foreseeable. We supply the Work for domestic and private use. If you use it for business purposes, we are not responsible for loss of profit, business or opportunity. If digital content we supply damages a device or other digital content you own, and this is caused by our failure to use reasonable care and skill, we will repair the damage or pay compensation.

10.3 Businesses: subject to clause 10.1:

(a) we are not liable for any loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss;

(b) our total liability arising from or connected with an order is limited to the price you paid for that order; and

(c) except as set out in these terms, all terms implied by law are excluded to the extent the law allows.

11. Delays and events outside our control

We will deliver within the time stated at checkout where we can. If something outside our reasonable control delays us, we will tell you and do our best to limit the delay. If the delay is long, you may cancel and we will refund anything you paid for Work not yet delivered.

12. Third-party providers and your data

12.1 We use third-party providers, including providers of 3D modelling, AI image generation, rendering, hosting, storage, email and payment services, to deliver the Work. Some process your Materials and personal data on our behalf.

12.2 By accepting these terms you agree that we may use these providers. A current list is available on request from hello@bakedgoods.studio.

12.3 Some providers may be located outside the UK. Where that happens, we use the safeguards required by UK data protection law. Our Privacy Policy has more detail.

12.4 Please do not send us Materials containing other people's personal data (for example, recognisable faces) unless you have the right to share it with us for this purpose.

13. Other important terms

13.1 We may change these terms for future orders. The terms in force when you order apply to that order.

13.2 You may not transfer your rights under these terms without our consent. We may transfer ours to another organisation, and will tell you if we do. If you are a consumer and unhappy with the transfer, you may cancel and receive a refund for Work not yet delivered.

13.3 If a court finds part of these terms unlawful, the rest will continue in force.

13.4 If we do not enforce a right straight away, we can still enforce it later.

13.5 Nobody else has any rights under these terms.

13.6 These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts, and you keep the protection of any mandatory laws where you live.

13.7 If you have a complaint, please email hello@bakedgoods.studio. We aim to reply within 5 working days.
